These Terms and Conditions ("Terms") govern your access to and use of the Turnkey Casino website and any B2B services provided by Turnkey Casino ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services Overview

Turnkey Casino provides B2B turnkey online casino software development services, including but not limited to:

• Custom UX/UI design and frontend development
• Backend architecture and server infrastructure
• Game aggregation API integration
• Payment gateway integration (fiat and cryptocurrency)
• Admin panel and back-office systems
• Post-launch support and custom module development

All services are delivered under separate project agreements that define specific scope, timelines, deliverables, and pricing.

2. Eligibility

Our services are available exclusively to businesses and individuals who are legally authorized to operate online gaming platforms in their respective jurisdictions. By engaging our services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into binding agreements
• You will obtain all necessary licenses and regulatory approvals for operating an online casino in your target markets
• Your use of our software will comply with all applicable local, national, and international laws

3. Intellectual Property

Client Ownership

Upon full payment, the client receives ownership of all custom-developed code, designs, and assets created specifically for their project. This includes the custom UX/UI design, frontend and backend code written for the project, and any bespoke modules developed under the agreement.

Turnkey Casino Retained Rights

Turnkey Casino retains ownership of proprietary frameworks, libraries, tools, and methodologies used in development that were not created exclusively for the client's project. We also retain the right to use general knowledge, techniques, and experience gained during the project.

4. Project Timelines and Delivery

Our standard development timeline averages three months from the approved technical specification to go-live. Timelines may vary based on:

• Complexity of custom business logic
• Scope of third-party integrations
• Timeliness of client feedback and approvals
• Regulatory requirements specific to target markets

Delays caused by the client's failure to provide timely feedback, content, or approvals will not constitute a breach of our delivery obligations.

5. Payment Terms

Payment terms, schedules, and amounts are defined in the individual project agreement. General payment conditions include:

• A non-refundable deposit is required to commence work
• Milestone-based payments are due upon completion and approval of each project phase
• Final payment is due prior to production deployment
• Late payments may result in project suspension until outstanding amounts are settled

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This includes technical specifications, business strategies, source code, financial information, and any other materials marked as confidential. This obligation survives the termination of the business relationship.

7. Warranties and Disclaimers

Turnkey Casino warrants that all deliverables will conform to the agreed technical specification. We provide a reasonable warranty period after launch during which we will fix bugs and defects at no additional cost.

We do not warrant that the software will be error-free or uninterrupted at all times. We are not responsible for issues arising from third-party services, APIs, or infrastructure outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Turnkey Casino's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific project in question. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination:

• The client pays for all work completed up to the termination date
• Turnkey Casino delivers all completed work and assets
• Confidentiality obligations remain in effect

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or services constitutes acceptance of the modified Terms.
